1. About on/special

on/special is an AI-powered social media automation service designed for bars, restaurants, and local businesses. The service is operated by Gram Strategy LLC, registered in Park Ridge, Illinois. By signing up for or using on/special, you agree to be bound by these Terms and Conditions and our Privacy Policy.

2. SMS Messaging and Opt-In Consent

By providing your mobile phone number and initiating contact with on/special, you expressly consent to receive recurring automated SMS messages from on/special. These messages include:

• Daily check-ins asking for your specials and promotions
• AI-generated post previews for your review and approval
• Publishing confirmations and status updates
• Service reminders and notifications
• Occasional service updates and announcements

Message frequency varies based on your chosen check-in schedule. Standard message and data rates may apply.

To opt out: Reply STOP at any time to unsubscribe from all messages. You will receive one final confirmation message after opting out. Reply HELP for assistance or contact jill.inglis@gramstrategy.com.

Your consent to receive SMS messages is not required as a condition of purchasing any goods or services.

3. The Service

on/special provides the following services:

• Automated daily SMS check-ins to collect your daily specials and promotions
• AI-generated social media post copy for Instagram, Facebook, TikTok, Google Business, and SMS
• Owner review and approval workflow before any content is published
• Automated scheduling and publishing to connected social media accounts
• Brand kit management including colors, voice, and image library
• Basic analytics on post reach and engagement

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to active users.

4. Your Responsibilities

By using on/special you agree to:

• Provide accurate information about your business during onboarding
• Review and approve all AI-generated content before it is published
• Ensure that any content you submit to on/special (specials, photos, descriptions) does not infringe on any third-party rights
• Not use the service to send spam, misleading content, or content that violates any applicable laws
• Comply with the terms of service of any social media platforms you connect to on/special
• Keep your account information current and notify us of any changes
• Be responsible for maintaining the confidentiality of any account credentials

5. Content and Intellectual Property

You retain ownership of all content you provide to on/special, including your business information, photos, and daily specials descriptions. By submitting content to us, you grant Gram Strategy LLC a limited, non-exclusive license to use, process, and publish that content solely for the purpose of providing the service.

AI-generated post copy created by on/special on your behalf belongs to you once approved and published. We do not claim ownership of content generated for your business.

The on/special name, logo, and service design are the intellectual property of Gram Strategy LLC and may not be used without written permission.

6. Customer SMS Lists

If you provide on/special with a list of your customers' phone numbers for the purpose of sending them your daily specials via SMS, you represent and warrant that:

• You have obtained proper consent from each individual on the list to receive SMS marketing messages from your business
• You have clearly disclosed to those individuals the nature of the messages they will receive
• The list complies with all applicable laws including the Telephone Consumer Protection Act (TCPA)

You are solely responsible for ensuring your customer SMS list complies with applicable laws. Gram Strategy LLC is not liable for any violations arising from your use of customer lists.

7. Third-Party Services

on/special integrates with third-party services including social media platforms, SMS carriers, and AI providers. Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for the actions, content, or availability of third-party services.

By connecting your social media accounts to on/special, you authorize us to publish approved content to those accounts on your behalf.

8. Disclaimers and Limitation of Liability

on/special is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or that AI-generated content will always meet your expectations.

You are responsible for reviewing and approving all content before it is published. Gram Strategy LLC is not liable for any content published with your approval that results in negative consequences for your business.

To the maximum extent permitted by law, Gram Strategy LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of on/special, even if we have been advised of the possibility of such damages.

9. Pilot Program

on/special is currently operating as a pilot program. During the pilot period:

• The service is provided at no cost to pilot participants
• We may request feedback to improve the service
• Features and functionality may change as we iterate based on feedback
• We reserve the right to conclude the pilot program at any time with reasonable notice

10. Termination

You may stop using on/special at any time by replying STOP to any SMS message or contacting us at jill.inglis@gramstrategy.com. We may suspend or terminate your access to the service if you violate these terms or engage in conduct that we determine to be harmful to the service or other users.

11. Governing Law

These Terms and Conditions are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of on/special shall be resolved in the courts of Cook County, Illinois.

12. Changes to These Terms

We may update these Terms and Conditions from time to time. When we do, we will update the "Last updated" date at the top of this page and notify active users via SMS or email. Your continued use of on/special after any changes constitutes acceptance of the updated terms.
