1. About on/special

on/special is an AI-powered social media marketing service for local businesses. The service is operated by Gram Strategy LLC, registered in Park Ridge, Illinois. By signing up for or using on/special, you agree to be bound by these Terms and Conditions and our Privacy Policy.

2. SMS Messaging

on/special is a text-based service. By signing up for on/special, initiating contact with the service, or accepting an invitation to use on/special as an authorized team member, you agree to receive SMS messages necessary to provide the service. These may include:

• Post previews for your review and approval
• Responses to instructions and revision requests
• Publishing confirmations and status updates
• Account setup, support, and service notifications

Message frequency varies based on how you use the service. Standard message and data rates may apply.

To opt out of SMS messages: Reply STOP at any time to unsubscribe from text messages. You may receive a final confirmation message after opting out. Reply HELP for assistance. Opting out of SMS messages does not automatically cancel a paid subscription or stop recurring charges. To cancel a paid subscription, follow the cancellation instructions provided when you subscribe or contact us at hello@onspecial.app. Because SMS is essential to the service, opting out may prevent you from using certain features.

3. The Service

on/special provides tools that help local businesses create and publish social media content through text messaging. The service may include:

• Creating social media post copy and visual content based on information, instructions, photos, and other materials you provide
• Selecting photos from your business's image library when appropriate
• Sending owner-initiated posts to the owner for review and approval, while allowing authorized team members to publish posts through their own applicable workflow
• Processing revision requests sent by text
• Publishing posts to supported connected channels, including Instagram, Facebook, and Google Business Profile, according to the applicable authorization and approval process
• Maintaining business and brand information, preferences, connected accounts, and an image library used to create content
• Allowing authorized team members to create and review posts for the business from their own phones

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to active users.

4. Your Responsibilities

By using on/special you agree to:

• Provide accurate information about your business during onboarding
• Review and approve content when prompted by on/special before publishing. You are responsible for content published through your account, including posts created and published by team members you authorize.
• Ensure that any content you submit to on/special (specials, photos, descriptions) does not infringe on any third-party rights
• Not use the service to send spam, misleading content, or content that violates any applicable laws
• Comply with the terms of service of any social media platforms you connect to on/special
• Keep your business and account information current and notify us of any changes
• Only authorize team members who are permitted to create or approve content for your business
• Be responsible for the activity of team members you authorize to use on/special for your business
• Be responsible for maintaining the confidentiality of any account credentials

5. Content and Intellectual Property

You retain ownership of all content you provide to on/special, including your business information, photos, instructions, and other materials. By submitting content to us, you grant Gram Strategy LLC a limited, non-exclusive license to use, process, and publish that content solely for the purpose of providing the service.

Subject to applicable law and any third-party rights, you may use, reproduce, edit, and publish content generated by On/Special for your business. Gram Strategy LLC does not assert ownership over the particular post copy or creative output generated for your business, and approval by the business owner is not required to obtain these usage rights.

The on/special name, logo, and service design are the intellectual property of Gram Strategy LLC and may not be used without written permission.

6. Third-Party Services

on/special integrates with third-party services including social media platforms, SMS carriers, and AI providers. Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for the actions, content, or availability of third-party services.

By connecting your social media accounts to On/Special, you authorize us to publish content to those accounts according to the applicable publishing workflow, including content created and published by team members you authorize.

7. Disclaimers and Limitation of Liability

on/special is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error-free, or that AI-generated content will always meet your expectations.

You are responsible for reviewing content when prompted by on/special and for the actions of team members you authorize. You acknowledge that authorized team members may create and publish posts without additional approval from the business owner. To the extent permitted by applicable law, Gram Strategy LLC is not responsible for the accuracy, legality, or business consequences of content you or your authorized team members approve or publish through the service.

To the maximum extent permitted by law, Gram Strategy LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of on/special, even if we have been advised of the possibility of such damages.

8. Paid Subscriptions, Billing, and Cancellation

On/Special may offer paid subscription plans. If you choose to purchase a paid subscription, the applicable price, billing frequency, renewal terms, and any trial or promotional conditions will be disclosed before you authorize payment.

Payment processing: Subscription payments are processed through Stripe, a third-party payment processor. By purchasing a subscription, you authorize the recurring charges disclosed at checkout until your subscription is canceled.

Renewal: Paid subscriptions renew automatically according to the billing frequency disclosed at checkout unless canceled before the next renewal.

Cancellation: You may request cancellation by emailing hello@onspecial.app. Any additional cancellation methods available to you will be provided when you subscribe. We will confirm your cancellation and its effective date. Replying STOP to text messages does not, by itself, cancel a paid subscription.

Refunds: Applicable refund conditions will be disclosed before purchase. Refund requests may be directed to hello@onspecial.app. Any refunds required by applicable law will be honored.

Payment failures: If a recurring payment fails, we may notify you and request updated payment information. Continued payment failure may result in suspension or termination of paid access, subject to applicable law and the terms disclosed at checkout.

Changes to pricing: We may change subscription prices or plan features prospectively. Where required, we will provide advance notice and obtain any necessary consent before applying changes to an existing subscription.

Termination: You may stop using On/Special at any time. We may suspend or terminate service access for violations of these terms or conduct that threatens the security or operation of the service. Ending service access and ending an active paid subscription are distinct actions; any recurring subscription must also be canceled through an applicable cancellation method.

9. Governing Law

These Terms and Conditions are governed by the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of on/special shall be resolved in the courts of Cook County, Illinois.

10. Changes to These Terms

We may update these Terms and Conditions from time to time. When we do, we will update the "Last updated" date at the top of this page and notify active users via SMS or email. Your continued use of on/special after any changes constitutes acceptance of the updated terms.
